Agreement to Terms

By accessing or using Loyalteez ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including brands ("Partners") and end-users ("Users") who earn and redeem rewards.

Description of Service

Loyalteez is a loyalty layer built on Soneium (Sony's Ethereum Layer 2 blockchain). The Service allows:

• Brands to reward customer actions with LTZ credits
• Users to earn LTZ across participating brands
• Users to redeem LTZ for perks across the network

LTZ is a utility credit within the Loyalteez ecosystem. It is not a security, investment product, or currency. LTZ has no guaranteed value outside the Loyalteez network.

User Accounts

Account Creation

When you create an account, a blockchain wallet is automatically created for you through our partner, Privy. You are responsible for maintaining the security of your account credentials.

Age Requirement

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using Loyalteez, you represent that you meet this requirement.

Account Responsibility

You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

LTZ Credits

Nature of LTZ

• LTZ are utility credits, not currency or securities
• LTZ have no guaranteed monetary value
• LTZ cannot be exchanged for fiat currency through Loyalteez
• LTZ are non-refundable once distributed

Earning & Redemption

Brands determine which actions earn LTZ and how much. Redemption rates for perks are set by the brand offering the perk. Loyalteez reserves the right to modify the LTZ earning and redemption mechanics with notice.

Prohibited Uses

You agree not to use the Service for:

• Any illegal purpose or to violate any laws
• Fraud, including creating fake accounts to earn rewards
• Automated scraping, botting, or abuse of the reward system
• Harassment, abuse, or harm to other users
• Interfering with or disrupting the Service
• Attempting to gain unauthorized access to systems
• Money laundering or financing of illegal activities

Violation may result in immediate termination of your account and forfeiture of LTZ without compensation.

Disclaimers

Limitation of Liability

To the maximum extent permitted by law, Loyalteez and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid to Loyalteez in the 12 months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify and hold harmless Loyalteez, its affiliates, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately. LTZ in your account at termination may be forfeited.

You may terminate your account at any time by contacting us. Note that blockchain records are permanent and cannot be deleted.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Alpha4 Labs is incorporated, without regard to conflict of law principles.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or through the Service. Your continued use after changes constitutes acceptance of the new Terms.
